Terms of Service

Read this first. We are not a government agency, not a law firm, and not required in order to file. You can file your own Florida annual report at Sunbiz.org and pay only the state fee. Our $49 fee buys convenience, not access.

1. Who we are

AnnualReportDue ("we," "us," "the Service") is a private document preparation and filing service operated by FormRoute LLC, a Wyoming limited liability company. We have no affiliation with, endorsement from, sponsorship by, or connection to the Florida Department of State, the Division of Corporations, Sunbiz, or any other government body.

By placing an order you agree to these terms. If you do not agree, do not place an order.

2. What we do

You give us the information required for a Florida annual report. We prepare that information and submit it on your behalf through the state's official online filing system, paying the state fee from the amount you paid us. We then email you a copy of the filed report.

Our service fee is $49.00 per filing. The state filing fee is separate and is set by the State of Florida:

We collect both amounts in a single payment and pass the state fee through in full. We add no markup to the state fee. State fees are set by Florida and may change without notice from us.

4. Your responsibilities

You are responsible for the accuracy and completeness of everything you give us. We transcribe what you provide. We cannot know whether your registered agent has changed, whether an officer has resigned, or whether an address is current.

Under Florida law, typing your name in the signature block has the same legal effect as an original signature (s. 15.16, F.S.). Typing another person's name without their permission constitutes forgery. Submitting a document you know to be false is a third-degree felony (s. 817.155, F.S.).

5. No changes, cancellations, or refunds after submission

Florida does not permit cancellation, refund, or editing of an annual report once it has been submitted and paid. This is a state rule, not ours. Correcting an error requires filing an amended annual report, which costs $61.25 for corporations and $50.00 for LLCs.

Before submission, you may cancel by emailing support@annualreportdue.com. If we have not yet submitted your report, we refund you in full. Once submitted, no refund is possible.

6. Deadlines and late fees

Florida annual reports are due by May 1. After that date the state assesses a $400 late fee on profit corporations, LLCs, LPs and LLLPs. Non-profit corporations are not subject to it. This fee is statutory and the state has no authority to waive it.

We will make reasonable efforts to file promptly, but we do not guarantee filing by any particular date, and we are not responsible for late fees, administrative dissolution, or any other consequence arising from when you place your order, incomplete information, payment failures, or state system outages. If you are close to the deadline, file directly at Sunbiz.org rather than relying on us.

7. Public records

Everything submitted on a Florida annual report becomes part of the public record and is published on the state's website. This is true whether you file yourself or we file for you. Do not give us information you do not want publicly visible.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the service fee you paid us for the specific order at issue. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost business, late fees, penalties, or loss of entity status.

The Service is provided "as is," without warranties of any kind.

9. Indemnification

You agree to indemnify and hold harmless FormRoute LLC and its officers and agents from any claim arising out of information you provided, your lack of authority to sign, or your use of the Service.

10. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute shall be resolved by binding arbitration on an individual basis. You and we each waive the right to participate in a class action. Either party may bring a qualifying claim in small claims court instead.

11. Changes to these terms

We may update these terms. The version in effect when you place an order governs that order. Material changes are reflected in the "Last updated" date above.
